Terms and Conditions

These are the Terms and Conditions (“T&C”) governing the use of the software offered through the website app.molview.com (the “Software”), including the rights on works created using the Software (the “Content”). To use the Software you must first agree to the T&C.

The Software is developed and operated by Bergwerf Labs (“We”). We are based in the Netherlands. You can contact us via info@molview.com.

1. General Terms and Updates

1.1. T&C Updates

We reserve the right to change the T&C at any time. We will notify you about significant changes to the T&C via a notification in the Software. Continued use of the Software after the T&C have been updated constitutes your acceptance of the new T&C.

1.2. Software Updates

We regularly roll out updates to the Software without prior notice. We reserve the right to make any changes to the Software, including the removal or restriction of features.

1.3. Availability

While we endeavor to maintain continuous operation of the Software, we do not warrant uninterrupted or error-free availability. Some features of the Software depend on external web services.

2. Privacy Policy

Our policy on data collection and use, including web analytics and personal information in user accounts, is described in the Privacy Policy. By using the Software you agree to the Privacy Policy.

3. Intellectual Property

3.1. The Software

The Software; its design, logos, and underlying technology, excluding external dependencies, is our exclusive intellectual property. We are the sole owner of all rights and title to the Software. The Software incorporates several third-party components and open-source dependencies governed by permissive licenses.

3.2. The Content

Content that you create, such as a diagram that you draw using the Software, is your intellectual property. Content that is retrieved through the Software, such as a chemical structure from PubChem, is believed to be in the public domain unless indicated otherwise.

4. License

4.1. Types of Use

We distinguish three types of use:

1. Non-commercial and academic use. Using the Software for non-commercial or academic purposes, such as education and academic research. This specifically includes creating Content for academic research outputs, such as papers and proceedings, even when these are published in a journal or by a publisher that is commercial or charges fees.

2. Standard commercial use. Using the Software for internal business purposes, and for creating external works, such as websites or presentations, that are not sold or licensed.

3. For-profit content creation. Using the Software to create Content that is used in works, such as textbooks and courseware, that are sold or licensed commercially.

4.2. Software License

We grant you a limited, non-exclusive, and revocable license to use the Software. The scope of this license, including feature access and the types of use for which you are permitted to use the Software, is determined by your active subscription tier and the use restrictions defined in Section 4.1.

4.3. License on Your Content

You grant us a permanent, royalty-free license to host, display, and process your Content, which may involve external cloud service providers. The sole purpose of this license is to provide, maintain, and improve the Software. This license is strictly operational. We receive no copyright or ownership over your Content.

5. Subscription Sales and Payment

5.1. Merchant of Record

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.

5.2. Refund Policy

When you purchase a subscription we provide a 30-day refund period. To cancel your subscription and get a refund, please contact us within 30 days of purchasing the subscription.

5.3. Renewal and Cancellation

Our subscriptions are auto-renewing. You can cancel the subscription renewal in the Paddle customer portal which you can access via your account settings.

6. Disclaimer of Warranties

The Software is provided to you strictly on an ‘as is’ and ‘as available’ basis. We make no express or implied warranties, including, but not limited to, warranties of fitness for a particular purpose or non-infringement. We are not responsible for the performance of external web services the Software depends on. The Software provides chemical information for educational and research purposes only. You are solely responsible for any use of this information, including any attempt to synthesize, handle, or misuse chemicals. Use of the Software is entirely at your own risk.

7. Limitation of Liability

To the maximum extent permitted by Dutch law, we will not be liable for any indirect, incidental, special, or consequential damages, including loss of profits, revenue, data, or goodwill. In all cases, our total liability to you for any direct damages arising from these T&C or your use of the Software is limited to the greater of €100 or the amount you paid to us for the Software in the twelve months preceding the claim. This limitation of liability does not apply to damages caused by wilful misconduct or gross negligence by us, or for damages involving death or personal injury.

8. Governing Law

These T&C are governed solely by the laws of the Netherlands, without regard to its conflict of law principles. You agree that any disputes arising from these T&C or your use of the Software will be submitted exclusively to the competent courts of the Netherlands.
